Welcome to DMARCFlow! These Terms and Conditions ("Terms") govern your use of our website located at https://www.dmarcflow.com (the "Website") and the services we offer. By accessing or using our Website, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Website.

2. Scope and Audience

The Website and Services are offered exclusively to business customers (Unternehmer i.S.d. § 14 BGB). The provisions applicable to consumers (Verbraucher i.S.d. § 13 BGB) do not apply.

4. Definitions

  • "DMARCFlow," "we," "us," or "our" refers to Ucar Solutions UG (haftungsbeschränkt).
  • "You" or "user" refers to any business customer who accesses or uses our Website.
  • "Services" means the DMARCFlow SaaS platform and associated services.
  • "Content" means all information, data, text, software, music, sound, photographs, graphics, video, messages, or other materials available on the Website.
  • "Website" refers to https://www.dmarcflow.com.

5. Acceptance of Terms

By accessing or using the Website, you signify your agreement to these Terms. If you do not agree to these Terms, you must not use the Website.

6. Changes to These Terms

We may revise these Terms at any time. Material changes will be notified via the Website and/or email at least 14 days prior to effectiveness. You are expected to check this page from time to time to take notice of any changes we made, as they are binding on you. Your continued use of the Website after the effective date constitutes acceptance of the revised Terms.

7. Services & Use

DMARCFlow provides a SaaS platform for DMARC monitoring and implementation. The use of our Services is governed by a separate SaaS Subscription Agreement, which you must agree to before accessing the Services.

8. Acceptable Use / Prohibited Conduct

You agree to use the Website only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Website. You shall not:

  1. Copy, modify, reverse engineer, or create derivative works of the Website or Services;
  2. Bypass security or access controls;
  3. Access the Website via automated means (scraping, spiders) except as permitted in robots.txt;
  4. Introduce malware or interfere with functionality;
  5. Use the Website to violate law, infringe rights, or send unauthorized communications.

9. License to Use Website

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Website for your internal business purposes. All rights not expressly granted are reserved.

10. Intellectual Property and Trademarks

All Content included on the Website, unless uploaded by Users, is the property of DMARCFlow, our affiliates, or other relevant third parties. By continuing to use the Website you acknowledge that such material is protected by applicable intellectual property and other laws. DMARCFlow and related marks are trademarks of Ucar Solutions UG (haftungsbeschränkt). No license to use our trademarks is granted by these Terms.

11. Feedback

You grant DMARCFlow a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate into the Services any suggestions, enhancement requests, or other feedback you provide.

12. Warranty Disclaimers & Limitation of Liability

The Website is provided ‘as is’. We exclude liability for defects where permitted by law. We do not limit liability for intent, gross negligence, injury to life, body or health, claims under the German Product Liability Act, or for breach of cardinal obligations (Kardinalpflichten); in the latter case, liability is limited to foreseeable, typical damages. For slightly negligent breaches of non-cardinal obligations, liability is excluded. For slightly negligent breaches of cardinal obligations, liability is limited to typically foreseeable damages. The foregoing limitations apply to our legal representatives and vicarious agents.

13. Termination

We may terminate or suspend your access to our Website immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

14. Governing Law and Disputes

These Terms are governed by German law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Exclusive venue, provided the user is a merchant (Kaufmann), is Frankfurt am Main, Germany.

15. Assignment; Subcontractors

We may assign these Terms or engage subcontractors (including affiliates and subprocessors) to perform obligations. You may assign only with our prior written consent.

16. No Waiver; Severability; Survival

No waiver is effective unless in writing. If any provision is invalid, the remainder remains in effect and the parties shall replace the invalid provision with one that best reflects the original intent. Sections on IP, limitations, governing law, venue, and definitions survive termination.

17. Export Controls and Sanctions

You represent that you are not subject to EU, US, UK, or UN sanctions and will comply with applicable export control laws in connection with your use of the Website.

20. Language and Precedence

If these Terms are provided in multiple languages, the English version governs. In case of conflict between these Website Terms and the SaaS Subscription Agreement, the latter prevails for use of the SaaS.
